Terms & Conditions 

Effective Date: 20 February 2025

These Terms and Conditions ("Terms") govern your use of the services provided by Marketing Mill Studio ("we," "our," or "us"). By engaging our services, you ("the Client") agree to comply with and be bound by these Terms.

1. Services

1.1. We agree to provide marketing and related services as outlined in the proposal or contract agreed upon with the Client.

1.2. Any additional services requested by the Client will be subject to a separate agreement and may incur additional fees.

2. Fees and Payment

2.1. Fees for services will be outlined in the proposal or contract and are subject to UK Value Added Tax (VAT) where applicable.

2.2. Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.

2.3. Late payments may incur interest at 5% per annum above the base rate of NatWest Bank PLC, calculated daily and compounded monthly until payment is made in full.

3. Client Obligations

3.1. The Client agrees to provide all necessary information, materials, and approvals required for the timely completion of services.

3.2. The Client warrants that any materials provided do not infringe upon the rights of third parties and comply with all applicable laws and regulations.

4. Intellectual Property

4.1. All intellectual property rights in materials created by us during the provision of services shall remain our property until full payment is received.

4.2. Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the materials for the purposes specified in the contract.

5. Confidentiality

5.1. Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement.

5.2. This obligation of confidentiality extends beyond the termination of the contract.

6. Limitation of Liability

6.1. We shall not be liable for any indirect, incidental, or consequential damages arising from the provision of our services.

6.2. Our total liability under these Terms shall not exceed the total fees paid by the Client for the services.

7. Termination

7.1. Either party may terminate the contract by providing 30 days' written notice.

7.2. We reserve the right to terminate the contract immediately if the Client breaches any material term of these Terms.

8. Governing Law

8.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.

8.2. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.

9. General

9.1. We reserve the right to amend these Terms from time to time. Any changes will be communicated to the Client in writing.

9.2. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

9.3. The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
